Terms of sale
These terms of sale (hereinafter « Terms ») govern the contractual relationship between BeShield SRL (hereinafter « BeShield ») and any professional customer (school, educational institution, organising authority, public administration, company) (hereinafter the « Customer »).
Article 1 — Purpose
The Terms apply to any order of goods (anti-smartphone pouches, unlocking bases, iPad accessories, MacBook accessories, charging solutions, customisation, other sourced equipment) or services offered by BeShield, unless otherwise agreed in writing.
Any order implies unconditional acceptance of these Terms.
Article 2 — Quotes and orders
Quotes issued by BeShield are valid for 30 days, unless stated otherwise. The order is confirmed by signing the quote or sending an official purchase order from the Customer.
For public procurement, the specific tender conditions prevail over these Terms in case of conflict.
Article 3 — Prices
Prices are expressed in euros, excluding VAT. Belgian VAT is added at the applicable rate. Any shipping, installation or customisation fees are stated on the quote.
BeShield reserves the right to change its prices at any time; however, the prices applied are those shown on the accepted quote.
Article 4 — Purchase terms
Purchase corresponds to a final transfer of ownership of the goods to the Customer, after full payment. Unlocking bases are included on the basis of one free base per 100 pouches. Beyond that, each additional base is invoiced at €30 excl. VAT.
Article 5 — Lease terms
The lease formula has a firm duration of 36 months (3 years), with a minimum of 100 pouches. Payment is made monthly by SEPA direct debit, whose mandate is signed at the time of order.
Throughout the lease period, the goods remain the property of BeShield. At the end of the contract, the Customer may:
- return the goods to BeShield (at their own expense),
- renew the contract on preferential terms,
- acquire the goods at an agreed residual value.
Any early termination by the Customer triggers payment of the remaining monthly instalments.
Article 6 — Delivery
The communicated delivery times are indicative. BeShield undertakes to deliver within a reasonable period, generally between 2 and 6 weeks after order confirmation, depending on volume and product availability.
Delivery takes place at the address indicated by the Customer. Any delivery delay shall not give rise to damages, except where otherwise negotiated in writing.
Article 7 — Payment
Unless otherwise agreed in writing, invoices are payable within 30 days from the invoice date, by bank transfer to the account stated on the invoice.
For public procurement, Belgian statutory payment periods (law of 22 November 2013) apply.
In the event of late payment:
- late-payment interest is due as of right, at the increased statutory rate, in accordance with the law of 2 August 2002 on combating late payment in commercial transactions,
- a flat-rate compensation of €40 is due, plus, where applicable, compensation for recovery costs.
Article 8 — Warranty
BeShield warrants its products for 24 months from delivery against any manufacturing defect. The warranty covers the replacement or repair of defective products. It does not cover:
- normal wear and tear,
- deterioration due to non-compliant use,
- damage caused by unauthorised intervention,
- loss of the products.
Any warranty claim must be reported in writing to info@beshield.be with a photo and description of the defect.
Article 9 — Retention of title
The goods sold remain the exclusive property of BeShield until full payment of the price, in accordance with article 1583 of the Belgian Civil Code.
Article 10 — Liability
BeShield's liability is limited to the amount invoiced for the relevant order. BeShield cannot be held liable for indirect damages (loss of business, loss of data, moral damages).
BeShield acts as an equipment supplier. Compliance of the use of the products with the decrees in force (FWB of 13/03/2025, Flemish decree of 01/09/2025) is the responsibility of the school.
Article 11 — Data protection
Personal data collected as part of an order is processed in accordance with our data protection policy.
Article 12 — Force majeure
BeShield cannot be held liable for any failure to meet its obligations in the event of force majeure (natural disaster, conflict, pandemic, major supply-chain disruption, governmental decision, etc.).
Article 13 — Governing law and jurisdiction
These Terms are governed by Belgian law. In the event of a dispute, and after attempting an amicable resolution, the courts of Brussels shall have exclusive jurisdiction.
